Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On February 22, 2024, Mr. Christopher Hetrick, a member of the Board of Directors (the “Board”) of Upbound Group, Inc. (the “Company”), Chair of the Compensation Committee of the Board and member of the Nominating and Corporate Governance Committee of the Board, notified the Company of his resignation from his position on the Board and all Committees thereof, effective on February 29, 2024. As confirmed by Mr. Hetrick, his resignation is due to his other professional commitments with his employer, Engaged Capital, LLC. His resignation is not because of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
